Terms of Service
Effective date: June 26, 2026
These Terms of Service ("Terms") govern your access to and use of PartyVault ("PartyVault", "we", "us"), available at partyvaultapp.com and through the PartyVault application. By creating an account or using the service you agree to these Terms and to our Privacy Policy. If you are using PartyVault on behalf of a business, you represent that you have authority to bind that business.
1. The service
PartyVault is a software-as-a-service platform for event professionals to manage leads, clients, quotes, contracts, invoices, inventory, scheduling, storefronts, payments, planner workflows, and related tools. Features may change over time as we improve the product.
2. Your account
You must provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly at support@partyvaultapp.com if you suspect unauthorised access.
3. Your content and your clients' data
You retain all rights to the content you create and upload (leads, clients, quotes, contracts, invoices, images, messages, planner data, storefront content — "Your Content"). You grant PartyVault a limited, worldwide, royalty-free licence to host, process, transmit, display, back up, and otherwise use Your Content solely to operate and support the service for you.
If Your Content includes personal information about your clients, you are the controller of that data. You represent that you have all rights and consents required to upload it and to have us process it on your behalf. You will respond to your clients' privacy requests and use the service in compliance with applicable law.
4. Acceptable use
You agree not to:
- Use PartyVault to violate any law or third-party right.
- Upload malware, illegal content, sexually explicit content involving minors, or content that infringes others' intellectual property.
- Spam, harass, or send unsolicited bulk communications.
- Reverse engineer, scrape, or attempt to bypass access controls, rate limits, or security mechanisms.
- Resell, sublicense, or white-label the service without our written permission.
- Interfere with other users' use of the service.
We may suspend or terminate accounts that violate these rules.
5. Plans, billing, and free trials
Some plans are free; paid plans are billed in advance on a recurring monthly or annual basis through Stripe. By starting a paid plan you authorise us to charge your payment method for each renewal until you cancel. Pricing and feature limits are described on the Pricing page and may change with at least 30 days' notice for existing paid subscribers.
Free trials, if offered, convert to a paid subscription at the end of the trial unless cancelled in-app before the trial ends.
6. Refunds and cancellation
You may cancel at any time from the Billing page. Cancellation takes effect at the end of the current billing period and you retain access until then. Except where required by law, fees already paid are non-refundable. We may issue prorated refunds at our discretion for service outages we materially caused.
7. Payments to and from your clients
PartyVault integrates with Stripe and Stripe Connect to let you accept payments from your clients directly into your bank account. Use of Stripe is subject to the Stripe Services Agreement and the Connected Account Agreement. Stripe holds and disburses funds; PartyVault does not. You are responsible for the legality of the goods and services you sell, for accurate tax handling, for refunds and chargebacks to your clients, and for the contractual relationship with your clients.
PartyVault may charge a platform fee on marketplace transactions, disclosed at the time of the transaction.
8. AI features
PartyVault includes AI-assisted features (for example photo-to-quote, planner generation, smart pricing, translation, mockups). AI outputs are generated by third-party models and may be inaccurate or incomplete. You are responsible for reviewing AI outputs before sending them to clients, signing them as contracts, or otherwise relying on them.
9. Third-party services
PartyVault relies on third-party services (Stripe, Supabase, Cloudflare, Resend, Sentry, Lovable AI Gateway, and others). Their availability and behaviour are outside our control, and your use of them may be subject to their own terms.
10. Service availability
We work hard to keep PartyVault available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. For material reductions to a paid plan's features we will provide reasonable notice.
11. Termination
You may delete your account at any time from the Account or Billing page. We may suspend or terminate your account for breach of these Terms, prolonged inactivity, non-payment, or risk of harm to other users. On termination your right to use the service ends; data retention is described in the Privacy Policy.
12. Disclaimers
PartyVault is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We make no warranty about the accuracy of AI outputs, calculator estimates, market intelligence data, or pricing suggestions.
13. Limitation of liability
To the maximum extent permitted by law, PartyVault and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses arising from or related to your use of the service. Our total aggregate liability arising out of these Terms or the service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) USD $100.
14. Indemnification
You agree to defend, indemnify, and hold PartyVault harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the service, your violation of these Terms, or your violation of any law or third-party right.
15. Changes to these terms
We may update these Terms as the product and the law evolve. When changes are material we will notify you by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Texas, excluding conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, except where local consumer-protection law grants you the right to bring proceedings in your home jurisdiction.
17. Miscellaneous
These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and PartyVault. If any provision is unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
